Proposed Change to TSA Constitution and Notice of Extraordinary General Meeting (EGM) on Saturday 15 February 2025

TSA’s Management Committee is proposing two changes to the current TSA Constitution and is holding an EGM on Saturday 15 February to consider these changes.

The first proposed change is to the maximum number of committee members. To be consistent with best practice, the Committee proposes to reduces this from the current 14 to a best practice maximum of 9 (four office bearers plus up to 5 other members).

The second proposed change is to modify the clause concerning committee members with a lived experience of TSC. The proposal is to change this from a percentage to an absolute number.  This will provide TSA with greater flexibility to manage the composition of the Committee given that the total number of people on the Committee fluctuates over time.

All members of TSA (Tuberous Sclerosis Australia) are warmly welcomed to attend the EGM to discuss these proposed changes which will be held via Zoom on Saturday 15 February at 5.30pm AEDT.

The proposed changes to the TSA Constitution are shown below:

14. Constitution and membership

Subject in the case of the first members of the TSA Committee under Rule 15 Election of Members, the TSA Committee is to consist of:

(a) the office-bearers of TSA, and

(b) up to 10  5 ordinary members, each of whom is to be elected at the Annual General Meeting of TSA under Rule 15 Election of Members.

(2) The office-bearers of TSA are to be:

(a) the President

(b) the Vice-President

 (c) the Treasurer, and

(d) the Secretary.

(3) At least halfof the members of the TSA Committee must have a lived experience of TSC. It is an objective that at least three members of the TSA Committee have a lived experience of TSC.  Should at any time this number fall below three the Committee shall move to address this as soon as possible.  

Either the President and/or the Vice-President should have a lived experience of TSC. However, it is not a requirement that both do.
